On the evening of January 8, 2019, the fifth meeting of the 16th People's Congress of Chaoyang District organized four special symposiums on urban and rural construction management, social undertaking development, economic construction and rule of law construction. Lawyer Liu Guangchao, founding partner and director of Beijing Docvit Law Firm, attended the forum as a representative of the Chaoyang District People's Congress and made suggestions on the administration of the law and the construction of the government under the rule of law.

Yan Yandong, deputy director of the Standing Committee of the District People's Congress, and representatives of 33 district people's congresses, deputy head of the district government, Wang Zhizhen, and 14 districts, district procuratorates and other relevant units and department heads attended the meeting. Around the content of administration by law and the construction of a government under the rule of law, the delegates put forward many pertinent opinions and practical suggestions. The heads of relevant departments of the district government responded positively to the concerns of the delegates.

At the meeting, Director Liu Guangchao, as a representative, expressed his views on how to do a good job in administration according to law and build a government under the rule of law. He said that the normative nature of administrative law enforcement is to test whether the government is working according to the law. It is hoped that the government will clarify relevant behaviors within the scope of law enforcement authority of various departments. In addition, for the issue of law enforcement crossover and law enforcement duplication, it is recommended to explore the establishment of a law enforcement information sharing mechanism and communication mechanism to avoid duplication of law enforcement or different standards. Finally, a normalization investigation mechanism should be established for illegal law enforcement.

After the speech, the deputy director of the Standing Committee of the District People's Congress, Yan Yandong, expressed the hope that delegates will continue to care, pay attention to and support the rule of law construction work in their work, actively contribute ideas and suggestions, and jointly promote the rule of law in Chaoyang District to a new level.

Deputy District Governor Wang Zhiwei expressed his gratitude to all the delegates for their valuable comments. In combination with the work summary of 2018 and the work arrangement of 2019, the departments and departments of the meeting are requested to systematically sort out the opinions and suggestions put forward by the delegates, carefully study and implement them. Be sure to do the work fine.

It is reported that the representatives of the People's Congress of Chaoyang District also held in-depth discussions on topics such as urban and rural construction management, social undertaking development, and economic construction.

  • Preventing corporate governance risks under new Company Law2024-07-03
The new Company Law promotes the transformation of corporate governance from shareholder primacy to director primacy. This imposes governance responsibility on entrepreneurs such as directors, supervisors, officers (DSOs) and actual controllers of a company, increasing their risk of performing duties with their personal property at stake. Therefore, reducing the risk of entrepreneurs and their families facing compensation over corporate governance is of great concern.
  • How to deal with the failures to fulfill duty of diligence?2021-10-25
Both party A and party B are shareholders of company a, with a accounting for 30% of the shares and B for a state-owned enterprise holding company, accounting for 50% of the shares. Mr. Li is a director appointed by company B to company a, and also the head of financial department of company A. At the beginning of 2021, party A learned that there was still 1 million yuan of capital contribution of company B due but not paid in, and Mr. Li never called on company B according to his duty when he clearly learned that company B did not fulfill his obligation of capital contribution. In addition, Li used his authority to change the management authority of company A's office system, adjust the relevant processes and procedures of the company's internal management, and put pressure on the employees without reason, resulting in the failure of company A's normal operation for three consecutive months. In view of Li's behavior, how should company a and shareholders a protect the rights and interests of the company and themselves?
  • Voting rights can be restricted if shareholders fail to invest?2021-08-24
In recent years, the competition for corporate control has become more and more intense. The form of competition is no longer confined to the background, but gradually moved to the stage. In order to fight for corporate control, the disputes about the representation of corporate will caused by the internal power struggle in commercial cases are increasing. Voting right has also become the focus of contention among shareholders. If they fail to fulfill the obligation of capital contribution on schedule, there are serious differences among shareholders about whether their voting right can be limited. In the absence of special provisions in the articles of association, should shareholders vote according to the proportion of paid in capital contribution or the proportion of subscribed capital contribution?
